2016 SAMSUNG DEVELOPER CONFERENCE

Effective date: April 6, 2016

1. SITE TERMS OF USE

Samsung Electronics America, Inc. ("Samsung", "we", or "us") offers you this website along with all of the features and functions therein (collectively the "Site") to allow you to register for the Samsung Developer Conference being held April 27-28, 2016 in San Francisco, California with an additional day of pre-show workshops held on April 26, 2016 (collectively, the "Conference"). These Terms of Use ("Terms") apply to your use of the Site as well as any other sites from which you may be directed or linked to these Terms. These Terms constitute a legally binding agreement between you and us. You must be 18 years old or the age of majority in your jurisdiction in order to use our Site. If you are under 18 years old or the age of majority in your jurisdiction, then you may only use the Site with your parent or legal guardian's permission. By accessing or using our Site, you agree that you have read, understand, and are bound by the terms and conditions set forth herein. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE OR ACCESS THE SITE.

ACCOUNT CREATION

In order to register for the Conference, you will be required to create an account with us. You are solely responsible for any activity that occurs on your account and for maintaining the confidentiality of your password. You agree that you will provide and maintain accurate information and that it is your sole responsibility to do so. If there has been an unauthorized use of your password or account, please notify us immediately. When you create an account with us, you may be required to provide some of your personal information. By registering for the Conference and providing us with your personal information, you also accept our Privacy Policy, which can be viewed by clicking here http://www.samsung.com/privacy.html.

OWNERSHIP

Unless otherwise stated herein, we and/or our licensors are the sole owners of the Site and all of its content, including without limitation, all information, services, features, functions, copyrights, trademarks, service marks, and other intellectual property rights contained within the Site. You agree that all right, title, and interest in the Site will remain ours or our licensors' exclusive property. Nothing in these Terms gives you a right to reproduce, copy, distribute, sell, broadcast, license, or otherwise use the Conference name, the Samsung name or any of our trademarks, logos, domain names, and other distinctive brand features. You may not modify, rent, lease, sell, distribute, or create derivative works based on the Site unless we have given you prior written consent to do so. You agree that you will only use the Site for personal, non-commercial purposes. Notwithstanding the foregoing, we do not claim ownership of any content that you submit to us via Site. You represent and warrant that you have secured (and are able to produce proof in writing) of any and all rights necessary and appropriate to submit the content to us via the Site, including all necessary releases, and that such content is not confidential, as it will be not be treated as such. You do, however, grant us a perpetual, worldwide, unrestricted, non-exclusive, royalty-free, transferable license to use license, reproduce, modify, adapt, publish, translate, create derivate works from, distribute, publically perform and display the content that you post or submit to us via the Site.

USE OF NAME AND LIKENESS

For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, you hereby grant to us and our successors, assigns and licensees, the universal and perpetual right and license to make still and motion pictures of you, and sound recordings of your voice, and to use your actual likeness, photograph, voice, personal characteristics and other personal identification solely in connection with your attendance at the Conference in our audio/visual works, any derivation thereof, and any other audio/visual works, in all distribution, marketing, promotion and advertising thereof, and any and all ancillary rights associated therewith, in any and all other media of any nature whatsoever, whether now known or hereafter devised, throughout the universe in perpetuity (the "Rights"). We shall be the sole owner of all right, title and interest in and to all films, portrayals, photographs and recordings produced hereunder, including all copyrights therein, and any extensions and/or renewals thereof. Notwithstanding the foregoing, in no event will Samsung use the Rights to promote a product or service other than a Samsung Developer Conference without your prior written consent.

As we intend to act in reliance of these Terms, you hereby irrevocably release us from all liability and obligations to you of any and all nature whatsoever arising out of or in connection with the exercise of the Rights granted above, including, without limitation, from any liability for libel, defamation, violation of your rights of privacy, publicity, infringement of copyright or any other right and expense respecting the Rights granted. You agree that you shall be entitled to no additional consideration as a result of the exercise of the Rights granted herein and that we may rely upon these Terms in preparing and exploiting the works incorporating the Rights.

You warrant to us that you waive any equitable remedies that may be available to you in connection with any exploitation of the Rights, and understand that your sole and exclusive remedy in connection with any exploitation of the Rights shall be an action to recover monetary damages, if any.

You understand that we shall have no obligation to produce, distribute or otherwise exploit any works incorporating the Rights, and that if used, your name and/or likeness may be (but need not be) recognizable. All creative decisions regarding the use of your name and likeness shall be at our sole discretion.

USE RESTRICTIONS

While using the Site you agree to comply with all applicable laws, rules and regulations. You further agree that when using the Site you will not:

* Transmit by any means any software, virus, malware, program, code, file, or other material intended to interrupt, disrupt, alter, destroy, or limit any part of the Site;

* Use any robot, spider, script, or any manual or automated application or means to extract, download, retrieve, index, mine, scrape, reproduce, or circumvent the presentation, operation, or intended use of any feature, function, or part of the Site;

* Frame or mirror any part of the Site without Samsung's express prior written consent;

* Modify, adapt, translate, reverse engineer, decompile or disassemble any portion of the Site;

* Copy, download, distribute, transmit, upload, or transfer content from the Site or the personal information of others without our prior written permission or authorization;

* Resell, sub-license, or lease any of the content on the Site;

* Impersonate or pretend to be anyone else but you; falsely state or otherwise misrepresent your affiliation with any person or entity in connection with the Site; or express or imply that we endorse any statement you make;

* Violate or infringe upon the privacy, publicity, intellectual property, or other proprietary rights of third parties; or

* Engage in any activity that is criminal or tortious in nature, or otherwise violates the law or rights of another including, without limitation, hacking, phishing, fraud, stalking, defaming, abusing, harassing, or threatening.

Your failure to comply with these restrictions or any part of these Terms may result in termination of your access to the Site, as well as cancellation of your account and/or submission.

DISCLAIMER OR WARRANTIES

THE SITE AND ALL CONTENT, SERVICES AND FEATURES AVAILABLE THROUGH THE SITE, INCLUDING INFORMATION ABOUT THE CONFERENCE, ARE INTENDED FOR INFORMATIONAL PURPOSES ONLY. THE SITE IS PROVIDED TO YOU "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. YOU AGREE THAT YOU MUST EVALUATE, AND THAT YOU BEAR ALL RISKS ASSOCIATED WITH, THE USE OF THE SITE, INCLUDING, WITHOUT LIMITATION, ANY RELIANCE ON THE ACCURACY, COMPLETENESS OR USEFULNESS OF ANY MATERIALS AVAILABLE THROUGH THE SITE. SAMSUNG DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE SITE INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF NON-INFRINGEMENT, AND TITLE. SAMSUNG MAKES NO WARRANTY THAT THE SITE WILL BE ERROR FREE OR UNINTERRUPTED, THAT THE INFORMATION OBTAINED FROM THE SITE WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE, THAT THE QUALITY OF THE SITE WILL BE SATISFACTORY TO YOU, OR THAT ERRORS OR DEFECTS WILL BE CORRECTED. SAMSUNG MAKES NO GUARANTEE REGARDING THE RELIABILITY, ACCURACY, OR QUALITY OF ANY COMMUNICATION THAT IS POSTED ON THE SITE.

LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE TO YOU OR ANY OTHER PARTY FOR ANY CLAIM, LOSS OR DAMAGE, DIRECT OR INDIRECT, INCLUDING, WITHOUT LIMITATION, COMPENSATORY, CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, REGARDLESS OF THE FORM OF ACTION OR BASIS OF ANY CLAIM. YOU SPECIFICALLY ACKNOWLEDGE THAT WE SHALL NOT BE LIABLE TO YOU FOR ANY INTERACTION WITH AND ANY THIRD PARTIES APPEARING ON THE SITE OR OTHER THIRD PARTIES AT THE CONFERENCE. WE SHALL NOT BE LIABLE FOR ANY LOSS OF DATA, BREACH OF SECURITY ASSOCIATED WITH YOUR ACCOUNT, REGARDLESS OF THE FORM OF ACTION OR BASIS OF ANY CLAIM. SHOULD YOU CHOOSE TO COMMUNICATE OR MEET DIRECTLY WITH ANY THIRD PARTIES APPEARING ON THE SITE OR THIRD PARTIES AT THE CONFERENCE, WE ARE NOT RESPONSIBLE FOR THOSE COMMUNICATIONS OR ANY MEETINGS THAT MAY TAKE PLACE BETWEEN YOU AND OTHER ATTENDEES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OF WARRANTIES OR LIMITATIONS ON DAMAGES, SO SOME OF THESE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED OR HAVE A DISPUTE ABOUT THE SITE, TERMINATION OF YOUR USE OF THE SITE IS YOUR SOLE REMEDY. WE HAVE NO OTHER OBLIGATION, LIABILITY, OR RESPONSIBILITY TO YOU.

INDEMNITY

You agree to defend, indemnify and hold harmless Samsung, and its respective employees, officers, directors, agents, representatives, licensors, suppliers, agencies, and service providers from and against all claims, losses, costs and expenses (including attorney's fees) arising out of (a) your use of, or activities in connection with the Site; or (b) any violation of these Terms by you. We reserve the right to assume all or any part of the defense of any such claims and negotiations for settlement and you agree to fully cooperate with us in doing so.

THIRD PARTY SITES

The Site contains links to third party websites, such as social networking websites. Samsung does not have control over such websites and is not responsible for the availability of such external websites. Samsung does not endorse and is not responsible or liable for the content, advertising, products, services or other materials on or available from such third party websites linked from the Site. Your use of third party websites is at your own risk and subject to the terms and conditions and policies of such websites.

DISPUTE RESOLUTION

These Terms will be construed and enforced under the laws of the state of New York. You and we agree that any dispute between you and us arising under or related to these Terms and this Site can only be brought in binding individual (non-class) arbitration to be administered by the American Arbitration Association ("AAA"). If, for any reason, AAA is not available, you or we may file our case with any national U.S. arbitration company. You agree that you will not file a class action, or participate in a class action against us.

LOCAL LAWS

If you use this site from outside the United States of America, you are entirely responsible for compliance with applicable local laws, including but not limited to the export and import laws of other countries in relation to the materials and third-party content.

TERMINATION

We may immediately suspend or terminate your use of and access to the Site at our sole discretion and without prior notice, for any reason, with or without cause.

SEVERABILITY

If the application of any provision of these Terms to any particular facts or circumstances shall for any reason be held to be invalid, illegal or unenforceable by a court, arbitrator or other tribunal of competent jurisdiction, then (a) the validity, legality and enforceability of such provision as applied to any other particular facts or circumstances, and the other provisions of this Terms, shall not in any way be affected or impaired thereby and (b) such provision shall be enforced to the maximum extent possible so as to effect the intent of the parties.

WAIVER

Any delay in enforcing or any failure to enforce any provision of these Terms will not be deemed a waiver of any other or subsequent breach of these Terms.

CHANGES

We reserve the right to change any part of the Site, including these Terms, at any time. If we change these Terms, we will update the Effective Date listed above. Your continued use of the Site means that you agree with our updated Terms. If you do not agree with our updated Terms, you may not use our Site.

2. EVENT TERMS & CONDITIONS

A. Event Registration

Note all fees and registration offerings are subject to change.

The Samsung server or designated timekeeper shall be the official timekeeper for the purposes of determining the timing of any registration or notification.

REGISTRATION, SUBSTITUTIONS, AND CHANGES POLICY

Conference pass registrations and/or hotel bookings may be substituted for another employee from the same company or for another student/faculty member at the same institution. Substitution requests must be made in writing, via email to SDC@taylorinc.com no later than 11:59pm PST on April 15, 2016. Substitution requests are granted at the sole discretion of Samsung. Registrants may not share a conference pass. Sharing a pass may result in expulsion from the Conference and forfeiture of the full conference fee.

Passes are not replaceable except at the discretion of Samsung and may be subject to a full conference fee for a replacement.

REGISTRATION CANCELLATION POLICY

In order to attend the Conference, you will be required to pay the registration fee. If you wish to cancel your registration, you must do so in writing by sending an email to SDC@taylorinc.com. If you cancel BEFORE 11:59PM PST on March 30, 2016, you will receive a refund less a US$50.00 cancellation fee. If you cancel AFTER 11:59PM PST on March 30, 2016, no refunds will be issued.

* If you do not attend the Conference, and did not cancel your registration according to the cancellation policy noted above, you will not be entitled to a refund.

* By registering, you agree to receive periodic communications from Samsung Electronics America, Inc. and its affiliates concerning Samsung developer tools, events, and the Samsung Developer Conference. Please note that if you opt out of receiving broader marketing communications from Samsung targeting consumers, you will continue to receive Samsung developer communications until you opt to stop receiving developer communications separately.

* Note: See www.samsungdevelopers.com/sdc2016 for current available programs and schedules. Conference program and event schedules are subject to change.

* You may be subject to additional T&Cs during registration based on your registration package.

* Payment for all Conference fees must be paid at time of registration by credit card. If you do not have a credit card you may opt to pay by wire or check. If paying by wire or check, confirmed payment must be received within 14 days of registration or your registration will be cancelled. If you register after April 14, 2016, payment must be received by April 19, 2016 or your registration will be cancelled. If you register after April 15, 2016, please bring your payment receipt with you to the event. Payment must be received in full for entry to the Conference. Checks, wire transfers, and cash will not be accepted as forms of payment onsite. Only credit cards will be accepted onsite.

* Samsung is not responsible if you are traveling from outside the US and your travel visa approval is not received on time. Arranging for your travel visa is the sole responsibility of the registrant.

* Cancellation of travel reservations and hotel reservations is the exclusive responsibility of the Registrant. Neither Samsung or Registration Services will be held responsible for any cancellation fees or surcharges, including but not limited to hotel or airfare cancellation fees, for Registrants who have made their own travel arrangements (either with or without the assistance of Registration Services).

* Neither Samsung nor Registration Services shall be responsible for any disparity in amounts refunded due to currency fluctuations from time of purchase to time of refund.

IF YOUR REGISTRATION INCLUDES HOTEL, YOU ARE SUBJECT TO THE FOLLOWING TERMS:

* A credit card will be required to guarantee your online reservation request. Your credit card will not be charged until time of check out, or in the event of hotel penalties. Registration Services reserves the right to charge your credit card per the Terms & Conditions. If you do not have a credit card, please contact Registration Services at SDC@taylorinc.com.

* Please do not contact the hotel directly to cancel or make changes to your reservation.

* Changes to your hotel reservation can be made within your registration account until 11:59PM PST on March 30, 2016. Change requests after this time can be made in writing to Registration Services at SDC@taylorinc.com.

* Hotel reservation cancellations and/or reduction in length of stay may be non-refundable after 11:59PM PST on March 30, 2016.

* No shows may result in a cancellation penalty of all anticipated nightly charges.

* Early departures may result in an early departure penalty of all anticipated nightly charges remaining upon check out.

* A credit card will need to be presented upon check in at the hotel to cover the nightly rates and any incidentals that are incurred throughout your stay.

* Special room requests and/or early check in/late check out requests cannot be guaranteed, however, the hotel will do their best to accommodate.

* Regular Registration Rate: $499 (expires 11:59PM PST April 25, 2016)

* Onsite Registration Rate: $599 (effective 12:00AM PST April 26, 2016)
Includes: access to Keynotes, Pavilion, Samsung Celebration, sessions, meal room on April 27 and 28, 2016.

* Early Bird Discount Rate: $399 (Register before 11:59PM PST March 29, 2016 to receive $100 off the regular registration rate.)
Includes: access to Keynotes, Pavilion, Samsung Celebration, sessions, and meal room on April 27 and 28, 2016.

* Academic Registration Rate: $199 (Academic attendees must verify their academic status or register with a .edu email address. Limited quantity available.) Academic attendees must be enrolled in a relevant program at a post-secondary institution or be a member of faculty in a relevant program at a post-secondary institution. Academic attendees must bring post-secondary identification by means of a Student ID card or academic letter on school letterhead verifying student status, program and signed by an authorized school official.

* Alumni Discount: $100 off current price (Any attendee that registered, and has a zero-dollar balance for the 2014 Samsung Developer Conference, can save an additional $100 off the current price for a Conference pass. The discount is in addition to the early bird rate.) To be recognized as an alumni attendee, you must use the same email address to register for SDC 2016 as you did for SDC 2014.

* Group Discount Program:

- Companies that register three or more people, before 11:59PM PST on March 29, 2016, may qualify for a group discount rate of $266 per conference pass.

- Companies that register three or more people, after 11:59PM PST on March 29, 2016, but before 11:59PM PST on April 25, 2016 may qualify for a group discount rate of $333 per conference pass.

- Group Discount purchasing will not be offered after 11:59PM PST on April 25, 2016.

Attendees can receive one night free at an official SDC 2016 Conference hotel when they book at least 2 additional hotel nights at the discounted Conference room rate along with the purchase of a full Conference pass.

- Not combinable with any other discount codes.

- Hotel must be booked through Conference registration system.

- Hotel stay must include Tuesday April 26, 2016 and/or Wednesday, April 27, 2016 to qualify.

- Changes to your hotel reservation can be made within your registration account until 11:59PM PST on March 30, 2016. Change requests after this time can be made in writing to Registration Services at SDC@taylorinc.com.

- Complimentary hotel night rebate will be applied to the final hotel bill at time of check out, if all eligibility conditions are met.

EXPRESS PASSS

Express Pass: $100 (Access to Keynotes and Pavilion only on April 27 and 28, 2016. No access to Samsung Celebration, workshops, sessions, or meals.). Not combinable with any other discount.

FUN PASS

Fun Pass: $59 (Access to Samsung Celebration on the evening of Wednesday, April 27, 2016). Not combinable with any other discount. If you have already registered and would like to bring a guest to our Samsung Celebration, your guest will need to register and purchase a fun pass separately.

DAY 0 HANDS-ON WORKSHOPS

Day 0 Hands-On Workshops:  $49 each.  Choose from a variety of innovative hands-on workshops, April 26, 2016, the day before the Conference. Participants must have also purchased a Conference pass in order to purchase a Day 0 Hands-On Workshop.

* If you wish to cancel your Day 0 Hands-On Workshop registration, you must do so in writing by sending an email to SDC@taylorinc.com. If you cancel BEFORE 11:59PM PST on March 30, 2016, you will receive a full refund.  If you cancel AFTER 11:59PM PST on March 30, 2016, no refunds will be issued.

B. Event Attendance

By attending the 2016 Samsung Developer Conference (“Conference”), you agree to the following terms and conditions:

* While attending the Conference, you must wear your conference badge at all times.

* As an attendee of the Conference, you understand that you will have the opportunity to participate in a number of contests, raffles, and other games (collectively, “games”) for various prizes. You agree that you will be bound by all decisions from the judges of such games.

* If you win a prize, you cannot substitute or exchange the prize for cash or for any other prize. All other costs and expenses related to the prize are your sole responsibility, including but not limited to taxes, insurance, and data charges and any other charges from a carrier.

* You acknowledge that Samsung Electronics America, Inc., its affiliates and its service providers are not responsible for any human errors, technical problems, delays, defects, malfunctions, failures, or any other issues in connection with the administration of the games. Samsung reserves the right to cancel, terminate, suspend, or modify any games in its sole discretion.

* Some games may involve the submission of content that you create, e.g., videos. Any content that you submit in connection with a game shall be deemed the sole property of Samsung.

* By attending the Conference, you are granting to Samsung, its affiliates and service providers the right to film, record, use and display your name and/or likeness, photographs, performance, and voice for the purposes of advertising and trade in connection with developer relations marketing and promotion, without further notice, permission, or compensation, unless prohibited by law; provided, however, Samsung shall not use your name and/or likeness for the marketing and promotion of products other than the Conference or future iterations of the Conference. Samsung shall own all photographs and videos taken at the Conference and may copyright the same. Samsung will not be liable to you for any distortion or illusionary effect resulting from the publication of any such photographs and videos.

* You assume all liability for and waive and release any and all rights, demands, losses, liabilities, claims and causes of action whatsoever which you may now or later be entitled to assert against Samsung and its affiliates. This release covers claims for death, injury, or other harm or loss of any nature whatsoever caused by, contributed to, or arising out of your attendance of the Conference, including participation in any activities at booths, any games in which you choose to participate, and any prizes you may win in connection with such games. This release will be binding upon your heirs.

* Samsung and its affiliate third party agencies may collect various personal information from the registrant in order to facilitate registration. Attendees may also have their ‘badge’ scanned by sponsors in the pavilion area. By completing and submitting the information requested in the Conference registration, you are consenting to the collection, use and disclosure of your information by Samsung or its third party affiliates for event planning/management and Samsung and Conference sponsor marketing purposes. Your information will not be disclosed as except as outlined above. Samsung encourages registrants to check with sponsors regarding their specific privacy policies and purposes for collecting information when their badge is scanned at a booth. Any decision by the registrant to share personal information with any sponsor/exhibitor is the sole responsibility of the registrant. Samsung is not responsible for information provided by registrants to sponsors/exhibitors either at the Conference or through the mobile app nor is Samsung liable for anything done by sponsors/exhibitors with such information.

* YOU FURTHER UNDERSTAND AND AGREE THAT IF YOU ARE A RESIDENT OF THE STATE OF CALIFORNIA, ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA ARE HEREBY EXPRESSLY WAIVED. SECTION 1542 READS AS FOLLOWS: “CERTAIN CLAIMS NOT AFFECTED BY A GENERAL RELEASE. A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR.” IF YOU ARE NOT A RESIDENT OF THE STATE OF CALIFORNIA, YOU WAIVE ALL RIGHTS UNDER ANY LAW SIMILAR TO SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA THAT MAY EXIST IN YOUR STATE OF RESIDENCE.

* Samsung reserves the right to modify these Terms and Conditions at any time without limitation. Samsung reserves the right to, at its sole discretion, restrict participation in SDC 2016 and related events/activities.

3. SAMSUNG DEVELOPER PROGRAM

Your purchase of a ticket to the 2016 Samsung Developer Conference also grants you free preferred status in the Samsung Developer Program. As a Samsung Developer Program Partner, you may have the opportunity to attend certain Samsung Developer Program Partner conferences, technical talks, and other events (including online or electronic broadcasts of such events) (“Samsung Events”). In addition, Samsung may offer to provide you with certain services (“Services”), as described more fully herein and on the Registered Samsung Developer Program Partner web pages or any relevant documentation (collectively the “SDP Site”), solely for your own use in connection with your participation as a Samsung Developer Program Partner. Services may include, but not be limited to, product reviews, optimization suggestions, certification support, engagement support, prelaunch validation, as well as the offering of any content or materials displayed and provided on the Site and at Samsung Events (“Content”). You acknowledge that the Services, Content, SDP Site, and Samsung Events are proprietary to Samsung and its licensors, and protected to the fullest extent permissible under applicable copyright, patent, trademark and trade secret laws. You further acknowledge and agree that, as between you and Samsung, Samsung owns and shall continue to own all right, title and interest in or associated with the Services, Content, SDP Site and Samsung Events, including intellectual property rights under the above referenced applicable laws. Subject to the foregoing, Samsung hereby grants to you, and you accept a limited, personal, nonexclusive, nontransferable and revocable license to use and participate in the Services, Content, SDP Site and Samsung Events only as authorized in these Terms. The Content and any information, suggestions, advice, or recommendations obtained in connection with the Services, SDP Site and Samsung Events do not constitute professional advice, legal or otherwise. Samsung may change, suspend or discontinue providing the Services, SDP Site and Content to you at any time, and may impose limits on certain features and materials offered or restrict your access to parts or all of materials without notice or liability. In the absence of a separate written agreement to the contrary, all remarks, suggestions, comments, and recommendations (“Submissions”) submitted to Samsung regarding the Services, Content, SDP Site, or Samsung Events are the property of Samsung. You agree that Samsung will be free to use any Submissions for any purpose, including business and marketing purposes, subject to any applicable patents or copyrights.

As a Samsung Developer Program Partner, you may have access to Samsung’s software and hardware compatibility testing labs (“Compatibility Labs”) and/or developer technical support incidents (“DQS Services”) that Samsung may make available to you from time to time as a Samsung Developer Program Partner benefit or for a separate fee. You agree that all use of such Compatibility Labs and DQS Services will be in accordance with Samsung’s usage policies for such services, which are subject to change from time to time, with or without prior notice to you. Without limiting the foregoing, Samsung may post on the SDP Site and/or send an email to you with notices of such changes. It is your responsibility to review the SDP Site and/or check your email address registered with Samsung for any such notices. You agree that Samsung shall not be liable to you or any third party for any modification or cessation of such services. As part of the DQS Services, Samsung may supply you with certain code snippets, sample code, software, and other materials (“Materials”). You agree that any Materials that Samsung provides as part of the DQS Services are licensed to you on a limited, revocable, nonexclusive, personal and nontransferable basis, and shall be used by you only in accordance with the terms and conditions accompanying the Materials. Samsung retains ownership of all of its right, title and interest in such Materials and no other rights or licenses are granted or to be implied under any Samsung intellectual property. You have no right to copy, decompile, reverse engineer, sublicense or otherwise distribute such Materials, except as may be expressly provided in the terms and conditions accompanying the Materials. You agree that when requesting and receiving technical support from DQS Services, you will not provide Samsung with any information, including that incorporated in your software that is confidential to you or any third party. You agree that any notice, legend, or label to the contrary contained in any such materials provided by you to Samsung shall be without effect. Samsung shall be free to use all information it receives from you in any manner it deems appropriate, subject to any applicable patents or copyrights. Samsung reserves the right to reject a request for DQS Services at any time and for any reason, in which event Samsung may credit you for the rejected support request. You shall be solely responsible for any restoration of lost or altered files, data, programs or other materials provided.

You agree to receive periodic communications from Samsung Electronics America, Inc. and its affiliates concerning Samsung developer tools, events, and the Samsung Developer Conference.  Please note that if you opt out of receiving broader marketing communications from Samsung targeting consumers, you will continue to receive Samsung developer communications until you opt to stop receiving developer communications separately.

When using any developer tools, software, or programs offered by Samsung in connection with your use or participation of the Services, you agree to comply with the all applicable laws, rules, and regulations, as well as the SAMSUNG Developer Terms and Conditions and End User License Agreement (available at http://developer.samsung.com/terms-and-conditions and http://developer.samsung.com/end-user-license respectively) and any other applicable terms, conditions, policies, and agreements.
